Management Board

Company management is the permanent responsibility of the Management Board. In its dealing with third parties, the Company is represented by Denys Chalumeau, Chairman of the Management Board, who was appointed by the Supervisory Board in its meeting on September 28, 2006. The Management Board is vested with the most extensive powers to act in all circumstances on behalf of the Company. Said powers are exercised within the scope of the corporate object, under the oversight of the Supervisory Board and subject to those powers expressly granted to General Meetings of the shareholders and of the Supervisory Board by law or under the Company's By-laws. The Management Board shall be entitled to delegate some of its powers, at its discretion. The Chairman of the Management Board and the Chief Executive(s) shall represent the Company in its dealings with third parties.

Denys Chalumeau

Denys Chalumeau, 42 years old, is one of the Group's founders. He graduated with an engineering degree in Imaging, Multimedia, Audiovisual and Communication Studies and, as a big enthusiast of web-marketing, has been involved in Group management for 14 years. As at registration hereof, he is Chairman of the Company's Management Board. After having been involved in establishing the Company, Téléstore, Denys Chalumeau founded the electronic publishing company France Télématique Diffusion (which was subsequently renamed Poliris) in 1992. Denys Chalumeau is one of France's Internet trailblazers and has also initiated many other successful businesses (such as www.promovacances.com, www.bdnet.com or www.citegay.com) which he subsequently sold in order to focus on the classified real estate advertisements business.

Jean-Fabrice Mathieu

Jean-Fabrice Mathieu, 41 years old, is a member of the Company's Management Board. He is a graduate of the prestigious École des Hautes Études Commerciales business school. Before joining the Group in February 2006, had a management role within the L'Oréal group, from 1989 to 1999. He then joined the Kelkoo "shopbot" company when it started out in January 2000. After progressing from roles in international development, then becoming VP Marketing and Business Development, he became Chairman of the Board and CEO of Kelkoo and VP Marketplace of Yahoo! Europe at the end of 2004.

Fabrice Robert

Fabrice Robert, 36 years old, is a member of the Company's Management Board and heads up the Group's finance and accountancy department. Before joining the Company in November 1995 as an accountant, Fabrice Robert worked in various jobs in the accountancy and customer services departments of a metals trading group, from 1990 to 1995.

Gilles Blanchard

Gilles Blanchard, 42 years old, is a member of the Company's Management Board. He graduated with an engineering degree in Imaging, Multimedia, Audiovisual and Communication Studies and worked as a project manager in the French Ministry of the Interior (from 1989 to 1991) and then at the Paris-based Cité des Sciences et de l'Industrie (from 1991 to 1999). It subsequently managed the "intellectual property" department for the Chello company in Amsterdam. He joined the Group in 2000 in order to head up the IT department and manage relations with other European websites.

Jean-Philippe Chevalier

Jean-Philippe Chevalier, 42 years old, is a member of the Company's Management Board. He joined the Group in 1995 as Director of Operations (real estate activities). Before joining the Group, he worked in various sales jobs and then as Sales Manager and subsequently Sales Director in various PR and marketing companies (press and Minitel).
